AMSTERDAM, 10 March 2025: OCI Global (Euronext: OCI) (“OCI” or the “Company”) today announced a final resolution of the previously disclosed dispute between OCI and its Natgasoline joint venture partner, Proman, over certain shareholder rights in connection with the divestment of OCI’s global methanol business (“OCI Methanol”) to Methanex Corporation (“Methanex”) (TSX: MX) (NASDAQ: MEOH).
After the Delaware Court of Chancery ruled in OCI’s favor on 29 January 2025, Proman filed a notice of appeal to the Delaware Supreme Court on 28 February 2025. On 7 March 2025, however, Proman irrevocably withdrew its appeal and, as a result, the Court of Chancery’s ruling in OCI’s favor is now final.
Pursuant to this successful resolution, OCI’s indirect 50% interest in the Natgasoline joint venture will be included as part of Methanex’s acquisition of OCI Methanol. The transaction has been approved by the boards of directors of both companies and is expected to close in Q2 2025, subject to receipt of certain regulatory approvals and other customary closing conditions.
